01 / Scope of Engagement
This Master Service Agreement (MSA) governs the provision of software development, digital platforms, e-commerce ecosystems, and technical consultancy services provided by Gulaniya Innovations Private Limited. Specific deliverables are defined in individual Service Orders (SO).
02 / Professional Fees & Payments
Services are invoiced based on agreed-upon milestones or periodic subscription cycles. Payments must be remitted within the timeframe specified in the invoice. Late payments may result in the temporary suspension of technical services or platform access.
03 / Confidentiality
Both parties agree to protect and keep confidential any proprietary information, trade secrets, and technical architectures shared during the term of engagement. This obligation survives the termination of this agreement.
04 / Governing Law
This agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in Ghaziabad, Uttar Pradesh.
